Terms of Service
We are glad you are taking the time to read our Terms of Service. These Terms govern your access to and use of the EventAssets website and services (“Service” or “Platform”), operated by EventAssets (“Company,” “we,” “us,” or “our”). We want our platform to be a trustworthy and safe space for everyone, and these Terms help us ensure that. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.
1. Description of Service
EventAssets is an event sharing platform that allows registered users ("Hosts") to create dedicated web pages for their events, manage guest lists, share event details, and facilitate interactions with their audience. Guests can access event pages via invitation links and, depending on Host settings, may be able to upload media content.
2. User Accounts and Registration
To become a Host and utilize the full features of EventAssets, you must register for an account. Our account management services are provided by Auth0. For more information, please refer to Auth0's Privacy Policy. You agree to provide accurate, complete, and current information during the registration process and to update such information to keep it accurate, complete, and current.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement.
3. Payment Terms
Hosts are required to pay a one-time fee to create and manage an event page on EventAssets. The specific fee amount will be displayed during the event creation process.
All payments are processed through secure third-party payment processors, such as Stripe. For more information, please refer to Stripe's Privacy Policy. We do not store your payment card details.
If you are a consumer residing in the European Union, you have the right to withdraw from this contract within 14 days without giving any reason. However, by confirming your purchase and requesting immediate creation of your event page, you expressly consent to the commencement of performance before the end of the withdrawal period. You acknowledge that your right of withdrawal is thereby extinguished upon successful creation of the event page, in accordance with § 356 (5) BGB and Art. 16(m) of Directive 2011/83/EU.
All payments are non-refundable once an event page has been successfully created and published, unless otherwise explicitly stated or required by applicable law.
4. Host Responsibilities
Hosts are solely responsible for all content they upload, publish, display, link to, or otherwise make available on their event pages, including event details, descriptions, images, and any other materials ("Host Content").
Hosts must ensure that their Host Content and their use of the Service comply with all applicable laws, regulations, and these Terms, including but not limited to laws regarding privacy, data protection, intellectual property, and consumer protection.
Hosts are responsible for managing their guests, including sending invitation links and setting permissions for guest interactions, such as media uploads.
Hosts agree not to use the Service for any unlawful or prohibited activities, including but not limited to:
- Uploading or sharing content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
- Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
- Interfering with or disrupting the Service or servers or networks connected to the Service.
- Attempting to gain unauthorized access to any portion of the Service or any other accounts, computer systems, or networks connected to the Service.
- In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
- For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
- To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
- To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity (including, without limitation, by using email addresses or screen names associated with any of the foregoing).
- To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Platform, or which, as determined by us, may harm the Company or users of the Platform, or expose them to liability.
5. Guest Responsibilities
Guests agree to use the Service lawfully and in accordance with these Terms.
If a Host enables media uploads, guests are solely responsible for any media (e.g., photos, videos) they upload to an event page ("Guest Content"). Guests must ensure that their Guest Content complies with all applicable laws, regulations, and these Terms, particularly regarding privacy and intellectual property.
6. User Generated Content
a) Responsibility for User Generated Content
You are solely responsible for your User Generated Content and the consequences of posting or publishing it. By submitting User Generated Content, you affirm, represent, and warrant that:
- You own or have the necessary licenses, rights, consents, and permissions to use and authorize us to use all patent, trademark, trade secret, copyright, or other proprietary rights in and to any and all User Generated Content to enable inclusion and use of the User Generated Content in the manner contemplated by the Platform and these Terms.
- You have the written consent, release, and/or permission of each and every identifiable individual person in the User Generated Content to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of the User Generated Content in the manner contemplated by the Platform and these Terms.
b) Content Standards
You agree not to post, upload, transmit, distribute, store, create, or otherwise publish through the Platform any of the following:
- User Generated Content that is unlawful, libelous, defamatory, obscene, pornographic, indecent, lewd, suggestive, harassing, threatening, invasive of privacy or publicity rights, abusive, inflammatory, fraudulent, or otherwise objectionable.
- User Generated Content that would constitute, encourage, or provide instructions for a criminal offense, violate the rights of any party, or otherwise create liability or violate any local, state, national, or international law.
- User Generated Content that may infringe any patent, trademark, trade secret, copyright, or other intellectual or proprietary right of any party. By posting any User Generated Content, you represent and warrant that you have the lawful right to distribute and reproduce such User Generated Content.
- User Generated Content that impersonates any person or entity or otherwise misrepresents your affiliation with a person or entity.
- Unsolicited promotions, political campaigning, advertising, or solicitations.
- Private information of any third party, including, without limitation, addresses, phone numbers, email addresses, Social Security numbers, and credit card numbers.
- Viruses, corrupted data, or other harmful, disruptive, or destructive files.
- User Generated Content that, in the sole judgment of the Company, is objectionable or which restricts or inhibits any other person from using or enjoying the Platform, or which may expose the Company or its users to any harm or liability of any type.
c) License to User Generated Content
By posting, uploading, inputting, providing, or submitting your User Generated Content, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Generated Content throughout the world in any media. You grant us and our sublicensees the right to use the name that you submit in connection with such User Generated Content, if they choose. You understand that your User Generated Content may be viewable by other users of the Platform and through third-party websites and services.
d) Monitoring and Enforcement
We have the right to:
- Remove or refuse to post any User Generated Content for any or no reason in our sole discretion.
- Take any action with respect to any User Generated Content that we deem necessary or appropriate in our sole discretion, including if we believe that such User Generated Content violates the Terms, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Platform or the public, or could create liability for the Company.
- Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
- Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Platform.
- Terminate or suspend your access to all or part of the Platform for any or no reason, including without limitation, any violation of these Terms.
7. Fair Use Policy
EventAssets provides unlimited media uploads and storage as part of our platform. While we do not impose rigid technical limits on the volume of content you may upload, we expect all users to exercise this feature in good faith and in a manner consistent with its intended purpose — event-related media sharing.
To protect the integrity and performance of the platform for all users, we reserve the right to:
- Investigate and take action against any use that appears abusive, automated, or otherwise inconsistent with normal event-sharing activity.
- Limit, throttle, or suspend upload capabilities for accounts that exhibit abnormal usage patterns, such as mass automated uploads, use of the platform as a general-purpose file storage service, or distribution of content unrelated to the stated event.
- Remove content that violates these Terms or that places a disproportionate burden on the platform.
- Terminate or suspend access to accounts that systematically misuse the upload and storage features.
Fair use means using the platform as intended: event-related media sharing. We will always act reasonably and, where possible, notify you before taking action.
8. Intellectual Property Rights
a) Ownership
The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by German and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
b) Permitted Use
These Terms permit you to use the Platform for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform, except as follows:
- Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
- You may store files that are automatically cached by your Web browser for display enhancement purposes.
- You may print or download one copy of a reasonable number of pages of the Platform for your own personal, non-commercial use and not for further reproduction, publication, or distribution.
- If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by our end user license agreement for such applications.
c) Restrictions
You must not:
- Modify copies of any materials from this site.
- Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text.
- Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from this site.
d) Consequences of Breach
If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Platform in breach of the Terms, your right to use the Platform will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to the Platform or any content on the Platform is transferred to you, and all rights not expressly granted are reserved by the Company. Any use of the Platform not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws.
9. Links to Other Websites
Our Service may contain links to third-party websites or services that are not owned or controlled by EventAssets.
EventAssets has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that EventAssets shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.
We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.
10. Disclaimer of Warranties
Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
EventAssets, its subsidiaries, affiliates, and its licensors do not warrant that:
- The Service will function uninterrupted, secure, or available at any particular time or location.
- Any errors or defects will be corrected.
- The Service is free of viruses or other harmful components.
- The results of using the Service will meet your requirements.
11. Limitation of Liability
In no event shall EventAssets, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Service.
- Any conduct or content of any third party on the Service.
- Any content obtained from the Service.
- Unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
12. Indemnification
You agree to defend, indemnify, and hold harmless EventAssets and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:
- Your use and access of the Service, by you or any person using your account and password.
- A breach of these Terms.
- Your User-Generated Content.
13. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
14. Governing Law
These Terms shall be governed and construed in accordance with the laws of Germany, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have between us regarding the Service.
15. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
